Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by UCInsights (“UCInsights,” “we,” “our,” or “us”), including the website at ucinsights.io and the call-center reporting platform delivered through it (collectively, the “Service”). By creating an account or using the Service, you (“Customer,” “you,” or “your”) agree to these Terms.

1. Service Description

UCInsights is a software-as-a-service platform that connects to a Customer's NetSapiens-based phone system, retrieves call detail records (CDRs), produces analyses (including AI-generated narrative summaries), and delivers those analyses by email to recipients Customer designates. Use of the Service requires a valid NetSapiens partner relationship and API credentials Customer is authorized to provide.

2. Account Registration

To use the Service you must create an account, supply accurate information, and keep your credentials secure. You are responsible for all activity that occurs under your account, including activity by employees, contractors, or anyone else you authorize. Notify us promptly at support@ucinsights.io if you suspect unauthorized use.

3. Subscriptions, Pricing, and Billing

Access to the Service is sold on a per-license, per-month basis at the rates published at ucinsights.io/#pricing or otherwise agreed in writing. Each license entitles Customer to enable one client domain for reporting. Subscriptions renew automatically each billing period unless canceled. Payment is processed by our third-party processor (currently Stripe, Inc.); by subscribing, Customer authorizes recurring charges to the payment method on file.

Customer may add or remove licenses at any time through the in-app billing portal. Stripe will prorate charges and credits on the next invoice. All fees are stated in U.S. dollars and exclusive of taxes, which are Customer's responsibility where applicable. Fees paid are non-refundable except as required by law.

4. Free Trial

New accounts may be granted a 14-day free trial during which up to five (5) licenses may be enabled at no charge. UCInsights may modify or discontinue trial terms at any time. At the end of the trial, Customer must subscribe to continue using the Service.

5. Acceptable Use

You agree not to:

• Use the Service to violate any law, regulation, or third-party right;
• Provide credentials, data, or instructions you are not authorized to share;
• Reverse-engineer, scrape, or attempt to derive source code from the Service except as expressly permitted;
• Interfere with or disrupt the Service's integrity or performance;
• Resell access to the Service in a manner that bypasses billing.

6. Customer Data

“Customer Data” means information you submit to the Service, including NetSapiens API credentials and the call detail records, queue, and subscriber data we retrieve at your direction. You retain ownership of Customer Data. You grant UCInsights a worldwide, non-exclusive, royalty-free license to host, process, and transmit Customer Data solely as needed to provide the Service.

UCInsights stores NetSapiens credentials encrypted at rest using AES-256-GCM. We do not sell Customer Data. See our Privacy Policy for details on collection, use, and the third-party processors we rely on (including Stripe for billing, SMTP2GO for delivery, and Anthropic for AI analysis).

7. AI-Generated Content

The Service uses third-party large-language-model providers to generate narrative summaries from your call data. AI-generated content may contain errors, omissions, or inaccuracies. UCInsights does not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated output. Customer is solely responsible for any decisions made based on Service output.

8. Intellectual Property

UCInsights and our licensors retain all rights, title, and interest in and to the Service, including all software, design, and content not constituting Customer Data. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Service during your subscription.

9. Service Availability

We aim to provide a reliable Service but do not guarantee uninterrupted availability. The Service is provided “as is” and “as available.” Scheduled maintenance, third-party outages, and circumstances beyond our reasonable control may affect access. No service-level agreement is offered unless separately agreed in writing.

10. Termination

Either party may terminate this agreement at any time. Customer may cancel via the in-app billing portal; cancellation stops future renewals but does not refund the current period. UCInsights may suspend or terminate the Service for non-payment, violation of these Terms, or for any reason on reasonable notice. Upon termination, your right to use the Service ends and we may delete Customer Data after a reasonable retention period.

11. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UCINSIGHTS'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO UCINSIGHTS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. UCINSIGHTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

Customer agrees to defend, indemnify, and hold harmless UCInsights and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of (a) Customer Data, (b) Customer's use of the Service in violation of these Terms or applicable law, or (c) Customer's breach of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Peach County, Georgia, and the parties consent to personal jurisdiction there.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or through the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
